China Company Start-up Checklist, Part III

Please read "China Company Start-up Checklist" Parts I and II before reading this article.

The following activities should also be undertaken as soon as possible after receiving the Business License:

(1) Obtain any Necessary Construction Permits

Procedures will vary according to locality and type of construction, but required documentation will likely include an Environmental Impact Assessment. Details can be provided to you by your examination and approval authority. Check on this early in the Project Approval stage ? advance preparations might need to be undertaken at that time.

(2) Recruiting Chinese Employees

This can be undertaken with the assistance of the Administrative Office of Foreign Invested Enterprises at the municipal Labor Bureau. Foreign Invested Enterprises are generally allowed to undertake independent recruitment and hiring (note that restrictions exist for Representative Offices).

(3) Recruiting Foreign Employees

Non-Chinese Nationals: Enterprises that wish to employ non-resident foreigners (on F, L, G or C visas) must apply to the Foreign Employment Administration Office of the local Labor Bureau to obtain work permits for them. A trip abroad (Hong Kong is OK) may be required.

The usual procedure is a follows:

(1) The enterprise applies for and receives approval to employ foreign nationals. Such Such approval is usually freely given to Foreign Invested Enterprises.

(2) If abroad, the foreign national applies for a work visa at a Chinese embassy or consulate in his home country (this might also be done from Hong Kong).

(3) Foreign national enters China and registers with the local Public Security Bureau (the police) within 24 hours of his arrival.

(4) Foreign national undergoes a half-day medical examination at a designated clinic in China (a small fee is required). The report should be issued to the foreign national within 48-72 hours.

(5) Employer applies for a work permit on behalf of the foreign national. Required documents include (i) completed application form (ii) passport copies, (iii) photos, (iv) resume, (v) copies of any applicable occupational licenses, (vi) medical examination report, and (vii) employment contract.

(6) Once the Work Permit is issued, the foreign national applies for an receives an Alien Residence Permit (this document is separate from the passport).

(7) Employer registers the foreign national with the local and national tax bureaus.

(8) Foreign national registers with the Customs Bureau of personal items are being shipped from abroad.

Taiwan, Hong Kong, or Macau Residents: The employer must apply to the Employment Administration Office for Compatriots from Taiwan, Hong Kong and Macau of the Local Labor Bureau in order to obtain Work Permits for residents of these areas.

Note 1: Bureau Addresses - The exact office addresses of the bureaus and departments listed above have not been included because most of them are local and because they may vary according to the location and nature of the project and the amount of money you are investing. For details, please seek the counsel of an experienced local consultant or attorney.

Note 2 - Subsequent Changes: Changes in the enterprise?s registered information are only effective upon the approval of the registration authorities. If a Foreign Invested Enterprise wishes to move to a new site, shift production, increase, decrease or transfer its Registered Capital, extend the term of the Joint Venture Contract, etc., Chinese foreign investment law requires that the enterprise immediately register these changes with the local office of the State Administration of Industry & Commerce. If any of the information on the Business License changes (such as change of identity of the Chairman of the Board of Directors or the General Manager), these changes must be immediately registered and the Business License must be amended.

Note 3: Additional Procedures: The above list of procedures is not necessarily exhaustive ? additional procedures may be required depending on your industry, your locality, the nature of your project, etc. An example is registration procedures required for being admitted to an industrial park (if your project wishes to be located in one), which vary somewhat from park to park.

Startup procedures for a WFOE are generally the same as those for establishing Joint Ventures, except that in a Wholly Foreign Owned Enterprise, Chinese foreign investment law requires that an authorized agent be entrusted to submit the application and approval documents in lieu of a Chinese partner using a Letter of Entrustment issued by the foreign investor (an agent must be a Chinese individual or entity, but could include lawyers and corporate registration services). The authorized agent performs the functions that the Chinese partner in a Joint Venture performs with respect to the examination and approval process. For example, the agent must submit the Project Proposal with a Letter of Entrustment instead of a Letter of Intent.

A simple rule of thumb for converting this website?s instructions on establishing a Joint Venture to establishing a Wholly Foreign Owned Enterprise is that wherever the instructions require the use of a Joint Venture contract, a Wholly Foreign Owned Enterprise may use its Letter of Entrustment, and where the instructions require the Chinese partner to submit its own information, this information is omitted from the requirements. A Shareholders? Agreement may be required at the project approval stage if there is more than one foreign investor; however, it may be governed by foreign law.

A WAY TO REALLY LOWER THE PRICE OF GASOLINESandi MosesBy: Sandi Moses


Every once in a while, someone starts a campaign to lower gasoline prices by urging everyone not to purchase any gas on a certain date. The chosen date is far enough in the future to allow for a massive e-mail and newscast campaign to spread the news far and wide throughout the land and get everyone geared up for the big day. The idea is that the resulting surplus of unsold gas would force distributors to lower the prices in order to be able to unload the stuff. There are two problems with that idea: 1) almost no one participates and 2) those who do participate buy their gas either the day before or the day after the target date, so the net result is the same amount of gas is sold and the price stays too high.

I have noticed that most drivers completely ignore the speed limit on the freeway. Where I live, the freeway speed limit in the city is 65 mph. It is quite possible to drive that fast in the right hand (slow) lane and have people come up on your bumper and give you an annoyed look as they go around you because they think you are driving too slowly! 80 mph in the left hand (fast or passing) lane is normal, as are people in hurry braiding in and out of lanes because they think their time is more important than yours and you are in their way. You might not want to hear this, but such driving wastes gas! The same gas you complain and moan about every time you fill out at the pump gets wasted out on the freeway by such drivers. Maybe even YOU??? (Nah..)

According to the website Howstuffworks, the best mileage can be achieved by driving between 40-60 mph. Now Im here to tell you that driving 40 mph on the freeway will get you one of three things: 1) a ticket for impeding the flow of traffic 2) into - or becoming the cause of - and accident 3) killed. However, driving at 60 mph wont cause any more dirty looks than driving at 65, as long as you stay in the right hand lane. You wont cause any accidents, and you wont get a ticket for impeding traffic. Again, according to Howstuffworks, gas mileage decreases rapidly at speeds above 60 mph. So you are wasting gas and wasting money by driving faster than 60 mph.

Now I can hear you already: But, Im late! Plan ahead, and leave a couple of minutes earlier. Think about it for a minute. If you drive 65 mph for one whole hour, you will only be 5 miles farther down the road that if you drove 60 mph for that same hour. Those of you who spend a whole hour commuting are usually not driving 65 miles. You are driving more like 10 miles, crawling along at jogging speeds. This wont work for that sort of commute. However, if your drive is such that you have the option of driving faster than 60 mph, DONT! Set your cruise control at 60 mph, slow down and save.

The beauty of this system is that you benefit from it even if no one else participates! There is a very real possibility that you could fill up your tank one less time per month. That would save you $20-$50 per month, which is $240-$600 per year. Spend it on Christmas presents. Splurge a little on your vacation. There are lots of ways you could enjoy the extra money. And if other people participate, because more and more people would be buying one less tank of gas per month, the supply really would go up because the demand really would be down, and that would mean lower prices which would benefit everybody (except maybe OPEC, and they dont need the money.) Try it!

Here are some facts about two and four stroke engines:

TWO STROKE ENGINES

Cycle - Two Strokes:

1.- Compression (intake+compression)
2.- Combustion (combustion+exhaust)

Advantages of two stroke engines:

The engine fires - spark plug ignites - once every revolution of the crankshaft.
They produce twice the power than four stroke engines.
They are much simpler than four stroke engines. Fewer parts to worry about.

Disadvantages:

You have to mix two stroke engine oil with gas, and depending on your consumption, this might be expensive.
They last less. Lubrication is not as efficient as in a four stroke engine with heavy oil.
Do not use gas efficiently.
Pollute more.

FOUR STROKE ENGINES

Cycle - Four Strokes:

1.- Intake
2.- Compression
3.- Combustion
4.- Exhaust

Vacationers Home Check-List: Everything You Should Know Before You Leave


If you are planning on being away from your home for an extended amount of time, it is important that you secure your home. You will not be able to enjoy your family vacation, concentrate on the business meeting, or feel relaxed while visiting relatives, if the thought of your home being violated is always in the back of your mind. There are many things that you can do before you leave, as well as things you can have arranged to be done by a third party, that will ensure that your home, property and pets are safe.

The most important aspect an owner needs to be concerned with is that their home does not look vacant while they are away. Statistics report that generally a home is burglarized every 12 seconds. It is important that you leave your curtains open when you leave. Closed curtains indicate a vacant home. You can also purchase light timers. They will turn on and off different lights in your home throughout the day until you return from your trip. It is also good to invest in motion sensor lights for the outside. As added protection, you may want to keep a radio on somewhere in the main part of the house. The volume need not be very loud, just loud enough to fool an intruder. It is also good to have an alarm system. Make sure that it is turned on when you leave.

Do not leave house keys under rocks or flower boxes around your home. Make sure they are all removed prior to your departure. Never leave a message on your phone that you are away. That is just asking for an intruder.

You need to also be aware that your lawn can also give signals that you are away and your home is vacant. If you are leaving during the warmer months, clip your lawn prior to your departure. Arrange in advance to have someone come and cut your lawn while you are away, as well. It is also good to cut back plants or shrubs that would provide a good place for an intruder to hide, or lurk behind. If you live in a cold climate and it is winter, be sure that you make arrangements to have someone you trust come and shovel the snow while you are away. Nothing gives a clue that no one is home more than a driveway and side walk that is piled under 6 feet of snow. If it is pool season arrange for someone to clean your pool while you are away.

Make sure that all outside work buildings or sheds are locked. Mowers, bicycles, and tools need to be secured inside. It is important that you do not leave your garage door opener inside any vehicles that will be left on the driveway. You can even arrange to have someone move your vehicles around periodically in your driveway to give your home the lived in look. Check all windows prior to leaving, as well as outside doors. Dead bolts on the doors, and key locks for the windows are the safest. Just make sure that the keys are removed from the window locks before your trip. Do not forget your skylight windows, or the small fanlights that may be in your bathroom. If an area is small enough for a head to fit through, it needs to have a lock on it.

You need to contact your local post office and have all mail kept there until your return. Cancel all newspaper subscriptions, as well. This is not an uncommon practice, and it will ensure that you don't have papers piling up on your walk, or mail spilling out of your box. That is an open invitation to an intruder.

It is also important that you are careful during casual conversation with the clerk at the store, dry cleaners, clubs, etc. Do not let anyone in the general public know that you are planning a trip. You never know who might be listening. It is also important that you do not list your address on your luggage. You would be surprised at how many homes are burglarized because a future burglar saw your address on your luggage at the airport. They simply follow you to the departure gate and ransack your home that evening.

You can contact your local law enforcement office and let them know that you are going to be away. Give them the dates of when you will be leaving and when you will be returning. They will provide a patrol unit to drive by your house every day to be on the lookout for anything out of the ordinary. If your neighborhood has a neighborhood watch program have your home listed as one of the homes that is in need of being watched. It is a good idea to also make an inventory of your valuables, with serial numbers and model numbers where possible. This information comes in handy if you ever have to file an insurance claim due to theft.

It is important that you make adequate arrangements in regards to any pets that you may own. You can board them at a shelter, if need be, though the comfort and care of your pet should always be kept in mind. It will be unsettling to your pet to be separated from you, make sure that their temporary home is as loving and comfortable as possible. No family pet should be kept in a cage for an extended amount of time. Make sure that you are leaving your pet with someone who is an animal lover, and not in the business of kenneling for greed. You should never forget the goldfish in the tank, or the plants in your home. It would be sad to come home to a floating fish and dead house plants. You may want to make prior arrangements to have someone come into your home to take care of these other special family members.

Prior to leaving it is important that you go through the refrigerator and dispose of any products that will have spoiled before you come home. You need to reduce the temperature on the hot water heater to a lower temperature, as well as the thermostat on any central heat and air units that you may have. Make sure that all outside water hoses are disconnected if it is the winter season, it will help to keep your pipes from bursting in extreme cold weather. It is also important that you check all smoke detectors to verify that they are in working order.

An option that you may want to check into that will give you peace of mind is a house sitter. This is a person that comes in and takes care of all the above listed things and stays at your home while you are away. Your pets will be able to stay in their own environment, the plants will be watered, the pool cleaned, the mail checked, the lawn will be mowed, etc. The house sitter's voice will be heard on the end of the telephone line when a future burglar calls to check to see if someone is home. It will be the house sitter that they see coming and going from your home on a regular basis if your house is under surveillance by a future burglar. The presence of the house sitter is the number one burglar deterrent.

A house sitter can also provide invaluable services like forwarding faxes to you if you run a home business and an urgent matter needs to be dealt with. They can also provide immediate attention to your home if there is ever an emergency. House sitters are the best thing you can do in regards to your pets. They can take your furry friends for their scheduled checkups, and tend to them if they get sick or hurt. They can also bathe them, feed them and love them until you get home. You can also leave a grocery list with your house sitter. When you return home, you will have a pantry and refrigerator stocked full of food, and you will not have to worry about that dreaded chore upon your return. A house sitter can also be in charge of getting any needed prearranged servicing done on your vehicles, or your home, while you are away. Above all else, the main service that a house sitter provides is that you can call home and see how your home is doing.

There is no greater feeling than to have peace of mind and to be able to enjoy your time away from home. The only feeling that can match that is coming home and finding that your home is still intact, your pets are well, and that your valuable are where you left them. You cannot leave home without having someone watch over your home. The day of everyone leaving their front doors unlocked are over. Make sure that you do everything you can to assure that your home, pets and possessions are well-protected while you are away.

A WAY TO REALLY LOWER THE PRICE OF GASOLINESandi MosesBy: Sandi Moses


Every once in a while, someone starts a campaign to lower gasoline prices by urging everyone not to purchase any gas on a certain date. The chosen date is far enough in the future to allow for a massive e-mail and newscast campaign to spread the news far and wide throughout the land and get everyone geared up for the big day. The idea is that the resulting surplus of unsold gas would force distributors to lower the prices in order to be able to unload the stuff. There are two problems with that idea: 1) almost no one participates and 2) those who do participate buy their gas either the day before or the day after the target date, so the net result is the same amount of gas is sold and the price stays too high.

I have noticed that most drivers completely ignore the speed limit on the freeway. Where I live, the freeway speed limit in the city is 65 mph. It is quite possible to drive that fast in the right hand (slow) lane and have people come up on your bumper and give you an annoyed look as they go around you because they think you are driving too slowly! 80 mph in the left hand (fast or passing) lane is normal, as are people in hurry braiding in and out of lanes because they think their time is more important than yours and you are in their way. You might not want to hear this, but such driving wastes gas! The same gas you complain and moan about every time you fill out at the pump gets wasted out on the freeway by such drivers. Maybe even YOU??? (Nah..)

According to the website Howstuffworks, the best mileage can be achieved by driving between 40-60 mph. Now Im here to tell you that driving 40 mph on the freeway will get you one of three things: 1) a ticket for impeding the flow of traffic 2) into - or becoming the cause of - and accident 3) killed. However, driving at 60 mph wont cause any more dirty looks than driving at 65, as long as you stay in the right hand lane. You wont cause any accidents, and you wont get a ticket for impeding traffic. Again, according to Howstuffworks, gas mileage decreases rapidly at speeds above 60 mph. So you are wasting gas and wasting money by driving faster than 60 mph.

Now I can hear you already: But, Im late! Plan ahead, and leave a couple of minutes earlier. Think about it for a minute. If you drive 65 mph for one whole hour, you will only be 5 miles farther down the road that if you drove 60 mph for that same hour. Those of you who spend a whole hour commuting are usually not driving 65 miles. You are driving more like 10 miles, crawling along at jogging speeds. This wont work for that sort of commute. However, if your drive is such that you have the option of driving faster than 60 mph, DONT! Set your cruise control at 60 mph, slow down and save.

The beauty of this system is that you benefit from it even if no one else participates! There is a very real possibility that you could fill up your tank one less time per month. That would save you $20-$50 per month, which is $240-$600 per year. Spend it on Christmas presents. Splurge a little on your vacation. There are lots of ways you could enjoy the extra money. And if other people participate, because more and more people would be buying one less tank of gas per month, the supply really would go up because the demand really would be down, and that would mean lower prices which would benefit everybody (except maybe OPEC, and they dont need the money.) Try it!

Here are some facts about two and four stroke engines:

TWO STROKE ENGINES

Cycle - Two Strokes:

1.- Compression (intake+compression)
2.- Combustion (combustion+exhaust)

Advantages of two stroke engines:

The engine fires - spark plug ignites - once every revolution of the crankshaft.
They produce twice the power than four stroke engines.
They are much simpler than four stroke engines. Fewer parts to worry about.

Disadvantages:

You have to mix two stroke engine oil with gas, and depending on your consumption, this might be expensive.
They last less. Lubrication is not as efficient as in a four stroke engine with heavy oil.
Do not use gas efficiently.
Pollute more.

FOUR STROKE ENGINES

Cycle - Four Strokes:

1.- Intake
2.- Compression
3.- Combustion
4.- Exhaust
